Ayr Wellness Inc.

Ayr Wellness Inc. is a vertically integrated multistate cannabis company with a Miami, Florida address. Its shares are listed on the Canadian Securities Exchange as AYR.A and on the OTCQX as AYRWF. The company entered Canadian CCAA proceedings in the Supreme Court of British Columbia in November 2025, with the stated goal of liquidating and winding down the parent after selling its core assets to its senior secured lenders.

Company materials cite more than 90 licensed retail locations across Florida, Pennsylvania, Massachusetts, New Jersey, Ohio, Nevada and Virginia. Operations are being transferred state by state to subsidiaries of Arboretum Bidco LLC, created by the noteholders and owned by Arboretum Investments LLC. Virginia moved in April 2026, Florida, New Jersey and Nevada in June, and part of Ohio on October 1, 2026; remaining markets await regulatory approvals.

Arboretum plans to operate under the Ayr Wellness trade name, funded by a $275 million senior secured exit facility bearing 13 percent interest. Vendors and brands should confirm which entity holds each store's license and contracts before extending terms, and expect procurement to be handled by the new owner as each state closes. The Ayr Wellness investor site publishes each transfer as it closes.
